2. Scope of These Terms

These Terms govern use of the SOS website and its publicly available content and features.
They do not replace any separately signed:
Master Services Agreement;
Employer of Record agreement;
staffing or recruitment agreement;
statement of work;
employment or contractor agreement;
data processing agreement;
confidentiality agreement;
commercial proposal; or
other written agreement between SOS and a client, employee, contractor, candidate or business partner.
If these Terms conflict with a separately signed agreement, the signed agreement will control for the services and parties covered by that agreement.
Visiting the website, submitting an inquiry, booking a consultation or applying for a position does not by itself create an employment, agency, partnership, client, supplier or other contractual relationship with SOS.

3. Eligibility

You must be at least 18 years old and legally capable of agreeing to these Terms.
If you use the website on behalf of a company or another organisation, you confirm that you have authority to act on its behalf and agree to these Terms for that organisation.
The website is primarily intended for businesses considering EOR, staffing, recruitment, outsourcing or workforce services and for individuals applying for employment opportunities.

4. Website Information Is General Information

The content on this website is provided for general informational and business-evaluation purposes.
Although we aim to keep information accurate and current, website content does not constitute:
legal advice;
employment-law advice;
tax or accounting advice;
financial or investment advice;
immigration advice;
regulatory advice; or
a binding employment-cost or compliance assessment.
Employment, tax, payroll, privacy and regulatory requirements vary according to the worker, role, client, location, industry and circumstances.
You should obtain appropriate professional advice before making decisions based on website content.

5. EOR, Staffing and Recruitment Services

Descriptions of SOS services on the website are general. The exact scope, deliverables, responsibilities, fees, timelines, service levels and contractual protections for an engagement will be stated in a separate proposal or signed agreement.
SOS is not obligated to provide services until:
the applicable parties have completed required due diligence;
commercial and operational terms have been agreed;
the relevant agreement has been signed;
required information and documentation have been provided; and
any applicable deposit or initial payment has been received.
Service availability may depend on the proposed role, worker location, client requirements, regulatory considerations and SOS’s operational capacity.

6. Pricing, Quotes and Cost Estimates

Any pricing, salary benchmark, EOR fee, statutory-cost estimate, calculator result, comparison, scorecard or example shown on the website is illustrative unless expressly identified as a binding quotation.
Actual costs may vary based on factors including:
employee salary and benefits;
statutory contribution rates;
taxes and payroll requirements;
exchange rates;
role seniority and location;
insurance requirements;
onboarding or background-checking costs;
equipment and software requirements;
security deposits;
termination obligations;
client-specific service requirements; and
changes in law, regulation or government guidance.
A website estimate does not guarantee a final employment cost, salary, saving, fee, timeline or commercial outcome. Only a written proposal or signed agreement issued for a specific engagement can establish binding pricing.

7. Calculators, Templates and Resources

SOS may provide calculators, checklists, comparison tools, RFP templates, scorecards, salary guides, timelines, formulas and other resources.
These resources:
use general assumptions;
may not account for every legal or commercial factor;
may contain data that changes over time;
are not substitutes for professional advice;
do not guarantee regulatory compliance or business results; and
should be independently reviewed before being used for hiring, employment or compliance decisions.
You are responsible for checking the inputs, assumptions and suitability of a resource for your circumstances.

8. Provider Comparisons and Third-Party Information

The website may compare SOS with other EOR, staffing, recruitment or outsourcing providers.
Third-party prices, features, services and policies may change without notice. Comparisons are based on information reasonably available when the content is prepared or updated.
References to another company do not imply sponsorship, endorsement, partnership or affiliation unless expressly stated.
You should verify important information directly with the relevant provider before making a purchasing or switching decision.

9. Recruitment and Job Applications

Job descriptions, salary ranges, schedules, work arrangements and hiring timelines are subject to change.
Posting a vacancy does not guarantee that:
the position remains available;
every applicant will receive an interview;
an applicant will receive an offer;
the advertised salary will apply to every candidate; or
employment will commence on a particular date.
Employment is created only through a valid written employment agreement with the relevant employing entity.
Applications must be submitted through the SOS Careers page or the application method stated in the vacancy. Résumés submitted through the business-inquiry form may be filtered, redirected or deleted.
You must ensure that application information is accurate and that you are authorised to provide information about referees or other individuals.

10. Acceptable Use

You may use the website only for lawful purposes.
You must not:
use the website in violation of any law or regulation;
submit false, misleading, fraudulent or impersonated information;
attempt to gain unauthorised access to the website, servers, accounts or systems;
interfere with website operation, security or availability;
introduce malware, malicious code or harmful material;
conduct vulnerability testing without written permission;
scrape, crawl, harvest or systematically extract website content without permission;
use automated systems in a manner that creates an unreasonable load;
use SOS content to train, develop or improve a commercial artificial-intelligence system without written permission;
copy or republish substantial website content for commercial use;
infringe intellectual-property, privacy or other legal rights;
submit unlawful, defamatory, discriminatory or offensive material; or
use the website to send spam or unsolicited communications.
We may restrict or block access where we reasonably believe these Terms have been violated or the website, SOS or another person may be harmed.

11. Information You Submit

You are responsible for information you submit through the website.
You confirm that:
the information is accurate to the best of your knowledge;
you have the right to provide it;
providing it does not violate another person’s rights;
it does not contain malware or unlawful material; and
SOS may use it for the purpose for which it was submitted.
Do not submit confidential client information, payroll records, government identification, financial-account details, health information or other sensitive data through a general website form unless SOS has specifically requested it through an approved channel.
Submitting an inquiry does not make the information confidential unless a confidentiality agreement or another legal obligation applies.

12. Intellectual Property

Unless otherwise stated, the website and its content are owned by or licensed to SOS and are protected by intellectual-property laws.
This includes:
written content;
service descriptions;
graphics and images;
logos and branding;
calculators and formulas;
checklists and templates;
scorecards and comparison frameworks;
page layouts;
downloadable resources; and
website code and functionality.
SOS grants you a limited, revocable, non-exclusive and non-transferable right to access and use the website for lawful internal evaluation or personal use.
You may not reproduce, modify, sell, license, distribute, publicly display or create commercial derivative works from SOS content without written permission.
You may quote short extracts and link to SOS pages provided that you give appropriate attribution, do not misrepresent the content and do not imply an unauthorised association with SOS.

13. Trademarks

Smart Outsourcing Solution, SOS, associated logos and other brand identifiers are trademarks or business identifiers belonging to SOS or its licensors.
You may not use these marks in a way that suggests endorsement, sponsorship, partnership or affiliation without written permission.
Other company names and trademarks displayed on the website belong to their respective owners.

14. Third-Party Websites and Services

The website may contain links to or embedded content from third-party websites and services, including scheduling tools, maps, social-media platforms, videos and external resources.
SOS does not control those third parties and is not responsible for their:
content;
availability;
accuracy;
security;
privacy practices;
terms; or
products and services.
Accessing a third-party service is at your discretion and may be subject to separate terms and privacy policies.

15. Privacy and Cookies

Our collection and handling of personal information are described in the SOS Privacy Policy.
The website may use essential, preference, analytics and marketing cookies. Available cookie controls can be used to manage non-essential cookies.
By submitting information, you acknowledge that it may be processed in accordance with the Privacy Policy and any more specific privacy notice presented at collection.

16. Electronic Communications

By contacting SOS electronically, submitting a form, booking a consultation or applying through the website, you consent to receiving communications related to your request through email, telephone, video meeting or another reasonable electronic channel.
Electronic records, notices and communications may satisfy requirements that communications be provided in writing, subject to applicable law.
Marketing communications may be withdrawn separately using the unsubscribe method provided.

17. Website Availability and Changes

We may modify, suspend, restrict or discontinue any part of the website without notice.
We do not guarantee that:
the website will always be available;
access will be uninterrupted or error-free;
defects will always be corrected immediately;
every feature will remain available; or
the website will be compatible with every device or browser.
We may update, remove or correct website content at any time.

18. Disclaimer of Warranties

To the maximum extent permitted by law, the website and its publicly available content are provided “as is” and “as available.”
SOS disclaims warranties and representations regarding:
accuracy, completeness or currency;
merchantability;
fitness for a particular purpose;
non-infringement;
uninterrupted operation;
security; and
achievement of a particular employment, compliance, financial or business outcome.
These disclaimers apply only to the website and publicly available resources. They do not replace warranties or service commitments expressly stated in a signed agreement.

19. Limitation of Liability

To the maximum extent permitted by law, SOS and its affiliates, directors, officers, employees, contractors and representatives will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss arising from website use.
This includes loss of:
profit;
revenue;
opportunity;
goodwill;
anticipated savings;
business continuity; or
data.
To the maximum extent permitted by law, SOS’s aggregate liability arising solely from use of the public website will not exceed the greater of:
USD 100; or
the amount you paid directly to SOS specifically for access to the website during the 12 months before the event giving rise to the claim.
This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct or any mandatory statutory right.
Liability relating to paid services will be governed by the applicable signed agreement.

20. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless SOS and its affiliates, directors, officers, employees and representatives from claims, liabilities, losses and reasonable costs arising from:
your unlawful use of the website;
your material breach of these Terms;
information or content you submit;
your infringement of another person’s rights; or
your unauthorised use or redistribution of SOS content.
This section does not require you to indemnify SOS for loss caused by SOS’s own fraud, wilful misconduct or liability that cannot legally be excluded.

21. Suspension and Termination

We may suspend or terminate access to the website where reasonably necessary to:
protect website security;
investigate suspected misuse;
prevent harm to SOS or another person;
comply with a legal requirement; or
enforce these Terms.
Provisions that are intended to survive termination—including intellectual property, disclaimers, liability limitations, indemnity and dispute provisions—will continue to apply.

22. Governing Law and Jurisdiction

These Terms and disputes arising solely from use of the public website are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.
The courts of Hong Kong will have non-exclusive jurisdiction over such disputes.
A separate signed agreement may specify a different governing law, dispute process or jurisdiction for paid services, employment or another commercial relationship. That signed agreement will control.
Nothing in these Terms prevents a person from exercising mandatory rights or bringing a claim in another jurisdiction where applicable law does not permit those rights to be waived.

23. Changes to These Terms

We may update these Terms to reflect changes in the website, services, business practices or legal requirements.
The latest version will be posted on this page with an updated revision date.
Changes apply from the stated effective date. Your continued use of the website after an update constitutes acceptance of the revised Terms to the extent permitted by law.

24. General Provisions

Entire agreement
These Terms and the Privacy Policy form the entire agreement concerning use of the public website. They do not replace a separately signed agreement.
Severability
If any provision is found invalid or unenforceable, the remaining provisions will continue to apply. The affected provision will be interpreted or limited to the minimum extent necessary to make it enforceable where permitted.
No waiver
A failure or delay in enforcing a provision does not waive the right to enforce it later.
Assignment
You may not assign your rights under these Terms without our written consent. SOS may assign these Terms as part of a restructuring, merger, acquisition, asset transfer or transfer to an affiliated entity.
No third-party rights
Unless expressly stated, these Terms do not give enforcement rights to a person who is not a party to them.
Headings
Section headings are provided for convenience and do not affect interpretation.
